Parkside Construction and Development Terms and Conditions

1. Introduction

1.1 These Terms govern the provision of construction services (“Services”) by [Parkside Construction and Development Ltd] or [Parkside Construction], hereinafter referred to as “The Contractor,” with its registered office at 1 Beauchamp Court, 10 Victors Way, Barnet, United Kingdom EN5 5TZ.

1.2 “The Contractor” shall oversee all works to completion and assume full operational responsibility for the project.

1.3 “The Contractor” is responsible for engaging sub-contractors to undertake the project.

2. Estimates

2.1 Estimates are based on the scope of work.

2.2 The Estimate is formulated using details provided by the client, architect, and construction drawings.

2.3 Acceptance of the estimate, verbally or in writing, or agreement to the commencement date constitutes acceptance of these Terms.

3. Scope of Services

3.1 Parkside Construction agrees to provide construction services to the client (“Client”) as specified in the project agreement or proposal.

3.2 The Client must provide all necessary and accurate information for the correct implementation of the works.

3.3 The Client shall ensure full access and cooperation for the successful completion of the project.

4. Changes to Scope of Work

4.1 Changes to the agreed scope of work must be in writing before the commencement of the work.

4.2 Parkside Construction is not obliged to agree to any requested changes.

4.3 Estimates are subject to change based on alterations to the scope of work, and variations, alterations, or amendments. These will incur additional charges.

5. Payment Terms

5.1 The Client agrees to pay Parkside Construction according to the payment terms specified by the Contractor.

5.2 Costs in advance of work being commissioned shall be agreed verbally or in writing before the commencement of the work.

5.3 Additional costs are recoverable without deductions or application of the original discount once the work is undertaken.

5.4 Late payments may be subject to interest charges as specified in the project agreement or applicable laws.

5.5 Deposits, part payments, and interim payments may be agreed upon before the commencement of the works.

5.6 Full payment is due following the practical completion of the project.

5.7 A payment is required for the acquisition of bespoke or high-value materials or the use of specialist sub-contractors.

5.8 All building materials provided prior to or during the construction period will remain the property of Parkside Construction and Development.

5.9 Failure by the Client to make payments within the agreed timeline may result in the termination of the agreement.

5.10 The Contractor’s Services shall commence subject to the payment of outstanding costs, including additional charges, by mutual agreement.

5.11 If payment remains outstanding within 14 days, Parkside Construction is entitled to commence legal proceedings without further notice.

5.12 Failure to pay may result in Parkside Construction being entitled to damages, loss of earnings, and interest at 8% above the bank base rate.

6. Project Timeline

6.1 Parkside Construction shall make reasonable efforts to complete the Services within the agreed project timeline.

6.2 Delays caused by unforeseen circumstances will be promptly communicated to the Client.

6.3 Delays caused by the client will extend the original timeline.

6.4 Delays caused by client-supplied items or materials may alter the project timeline.

6.5 Any stoppages caused by the client or outside Parkside Construction’s control will incur additional charges.

7. Quality of Work

7.1 Parkside Construction and Development Ltd will perform the Services in a professional and workmanlike manner, meeting industry and UK Building Control standards.

8. Warranties

8.1 Parkside Construction and Development Ltd provides a one-year warranty for defects in workmanship, including materials.

8.2 The warranty period commences following the handover of the completed project or Practical Completion, whichever occurs earlier.

8.3 Warranty details are subject to change without prior notice.

8.4 Warranty does not extend to existing structures, materials, or decorations.

8.5 Water ingress damages through existing structures are not covered by this warranty.

8.6 Parkside Construction may carry out the agreed repair work at agreed costs.

8.7 Decorations are signed off on completion and are not covered by this warranty.

8.8 Remedial works beyond the warranty period will be subject to additional charges.

8.9 Parkside Construction is not liable for repairs or further works if snagging issues are not promptly notified.

8.10 The Client shall provide immediate and full access for undertaking remedial works under this warranty.

8.11 In the absence of prompt notice or provision of full or immediate access to undertake works, Parkside Construction shall not be held liable under this warranty.

8.12 Sub-contractors appointed shall provide third-party warranty and liability for their work under the agreed contract.

9. Insurance

9.1 Parkside Construction carries appropriate insurance coverage for its work, including but not limited to general liability and workers’ compensation insurance.

10. Termination

10.1 Either party may terminate the project for material breach by providing written notice to the other party.

10.2 Termination by the Client may result in reasonable termination expenses and costs.

11. Dispute Resolution

11.1 Disputes arising from these Terms shall be resolved through arbitration following the JCT rules or FMB procedures.

11.2 The Client shall inform Parkside Construction immediately of any disputable issues and seek resolution.

11.3 Parkside Construction shall endeavour to resolve the issues to a satisfactory conclusion within 28 days of notice by the client.

11.4 In the absence of mutual agreement between Parkside Construction and the client within two weeks, the matter shall be referred to arbitration.

11.5 Disputes are only valid if the client follows the correct procedure within the set time.

11.6 Due to an ongoing dispute between the client and the contractor, payments shall not be withheld without the express agreement of the contractor.

12. Governing Law

12.1 These Terms are governed by the laws of England, and any disputes shall be subject to the exclusive jurisdiction of the English courts.

13. Confidentiality

13.1 Both parties agree to keep confidential all non-public information obtained during the provision of the Services.

13.2 Clients’ personal details will remain confidential in accordance with the Data Protection Act 1988.

14. Entire Agreement

14.1 These Terms constitute the entire agreement between Parkside Construction and the Client, superseding any prior agreements or understandings, whether written or oral.
